This contract, when agreed to and accepted by you (“the Client” or “you”) on behalf of the company or organisation for which you work, after you enter your full legal name and sign this contract electronically, will create a binding and legally enforceable agreement between the Client and ThinkDippy (“ThinkDippy”, “we”, “our”, “us” or “the editors”). Please read the following terms and conditions carefully before signing and submitting your order form.
1. Proofreading, Editing & Formatting Services
1.1. The editors will make corrections using Microsoft Word’s Track Changes feature and return the edited file(s) electronically via email, or as otherwise agreed. The Client is responsible for accepting or rejecting all changes once proofreading, editing and/or formatting is complete.
1.2. We will proofread, edit, and/or format your document in accordance with the service descriptions displayed on our website and with any other guidelines or instructions you send to us.
1.3. All documents are proofread, edited, and/or formatted to a high standard. The editors provide the best possible service to the best of their ability and cannot guarantee that the written documents are “perfect” or “without error.” ThinkDippy provides no guarantee that the client’s work will be completely error-free.
1.4. You will receive two versions of your proofread, edited, and/or formatted document: one with Track Changes and one clean version (both will contain comments).
1.5.
1.5.1. Proofreading/editing report: you will also receive a report that outlines the editors’ changes, comments, suggestions, and any global issues identified in your document(s).
1.5.2. Formatting report: you will receive a report that outlines the changes made during formatting.
1.6. We guarantee that we will meet the deadline provided on your order confirmation, unless unforeseen circumstances prevent this.
1.7. Upon request, we are happy to provide a certificate of editing that confirms a document has been proofread or edited by our editors.
2. Copyright
2.1. All content delivered to us by the Client for the proofreading, editing, and/or formatting project is owned by the Client. In this respect, refer to Section 7.
2.2. Following final payment of the invoice, any content created by the editors as part of the proofreading, editing, and/or formatting process will become the copyright of the Client unless otherwise agreed.
3. Confidentiality
3.1. ThinkDippy will ensure confidentiality of data, which will remain the property of the Client.
4. Payment
4.1. A non-refundable deposit of 50% should be paid upon receipt of your order confirmation and invoice. Work will not commence until this has been received, or in exceptional circumstances proof of payment has been received; therefore, bear in mind that this may impact the agreed turnaround time. The remaining balance should be paid within 14 days of you receiving the proofread, edited, and/or formatted document(s). The final payment is also final approval, and this contract will be considered fulfilled and thus, terminated. All prices on ThinkDippy’s website are displayed in EUROS and are btw/VAT exclusive for businesses and organisations. Typographical errors on the site cannot be held against ThinkDippy.
5. Cancellation policy
5.1. Both the Client and ThinkDippy have the right to terminate a contract for services at any time if there is a serious breach of its terms.
5.2. The Client is free to cancel a service for any reason by providing us with written notice (including email) in accordance with clause 5.6; we must acknowledge this cancellation in writing (including email) for this to be valid.
5.3. We may cancel a service at any time for any reason by providing written notice (including email) to the Client. In the unlikely event that we cancel a service, we will provide a prorated refund of any overages of payments received (including the deposit).
5.4. If, in the unlikely event that the Client is touched by extraordinary or difficult circumstances that cause cancellation or delay (e.g. family crisis, illness, bereavement), the Client should contact us to discuss the terms of the cancellation policy. We aim to be fair and helpful at all times.
5.5. If the editors are touched by extraordinary or difficult circumstances that cause cancellation (e.g. family crisis, illness, bereavement), we will contact the Client in writing (including email) at the earliest opportunity and do our best to renegotiate the deadline or find an alternative supplier of proofreading, editing, and/or formatting services. The deposit will be refunded.
5.6. Cancellations should be made within 24 hours of receiving your order confirmation. Cancellations made after 24 hours will be charged at 50% of the invoiced amount. This does not apply to orders including our Express Turnaround, for which full payment will be retained.
6. Modification of agreement
6.1. Modification of any provisions of this agreement is not valid and enforceable unless confirmed in writing and signed by all parties either in hardcopy or by e‐signature.
7. Disclaimer and liability
7.1. The utmost care is taken to identify errors in, and/or format, the document(s) concerned, with a high level of attention to detail. It is, however, conceivable that on occasions errors will have been missed due to human error. ThinkDippy is not liable for incidental, indirect, consequential, special, punitive, or exemplary damages of any kind, including loss of revenues or profits, loss of business or reputation, or loss of data, in any way related to our services. ThinkDippy is not responsible for any claim, loss, or injury based on errors or any other inaccuracies appearing on our website or in our clients’ written documents, including without limitation as a result of any breach of the terms and conditions of this agreement.
7.2. During the proofreading, editing, and/or formatting process, the research content and the author’s (Client’s) intentions are not altered. The author(s)/Client(s) is(are) free to accept or reject changes and suggestions made after proofreading, editing, and/or formatting is complete, and prior to submission to, for instance, any journal or university, for which we do not bear responsibility.
8. Legal jurisdiction
8.1. This Agreement is subject to the laws of the Netherlands, and both the Client and ThinkDippy agree to submit to the jurisdiction of the Dutch courts.
8.2. The exclusive venue for any arbitration or court proceeding based on or arising out of this Agreement shall be The Hague, the Netherlands.
9. GDPR
10. Acknowledgements in published works
10.1. There is no requirement for the Client to mention the editors by name or ThinkDippy in the published work’s acknowledgements section. However, the Client agrees that the editors will have the opportunity to review any such mention prior to publication, or to decline to be mentioned.
